LoadProfits provides software designed to estimate freight profitability using information supplied by users and third-party services.

Our Platform may calculate:

• Estimated fuel costs
• Estimated operating expenses
• Estimated gross profit
• Estimated net profit
• Profit per mile
• Break-even rates
• Estimated profit margins
• Route information
• Other transportation-related calculations

All calculations are estimates only.

3. No Financial, Tax or Legal Advice

LoadProfits is an informational software tool only.

Nothing provided through the Platform constitutes:

• Financial advice
• Tax advice
• Legal advice
• Accounting advice
• Business consulting
• DOT/FMCSA compliance advice

Users remain solely responsible for making all business decisions.

4. User Responsibility

You acknowledge and agree that:

• You are solely responsible for verifying all entered information.
• You are solely responsible for confirming freight rates, mileage, tolls, fuel prices, operating costs, taxes, permits, insurance expenses, maintenance costs, and all other business expenses.
• You are solely responsible for accepting, rejecting, negotiating, or pricing any freight load.

You agree not to rely exclusively on LoadProfits when making business decisions.

5. Accuracy Disclaimer

Although LoadProfits strives to provide accurate estimates, we make no warranties regarding:

• Accuracy
• Completeness
• Reliability
• Timeliness
• Availability

Calculations depend on:

• User-provided information
• Third-party mapping services
• Fuel price estimates
• Routing algorithms
• Software assumptions

Errors may occur.

6. Limitation of Liability

To the fullest extent permitted by applicable law, LoadProfits, its owners, developers, employees, affiliates, contractors, licensors, and partners shall not be liable for any:

• Loss of profits

• Loss of contracts
• Missed freight opportunities
• Incorrect load pricing

Your use of LoadProfits is entirely at your own risk.

7. “AS IS” and “AS AVAILABLE”

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.

We specifically disclaim any implied warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

We do not guarantee uninterrupted or error-free operation.

8. Subscription & Billing

Certain features require a paid subscription.

By subscribing, you agree that:

• Your subscription renews automatically unless canceled before the renewal date.
• Payments are processed by our third-party payment provider (such as Stripe).
• Subscription fees are charged in advance.
• You authorize recurring charges until cancellation.

9. Cancellation

You may cancel your subscription at any time.

Cancellation prevents future renewals but does not provide refunds for the current billing period unless required by applicable law.

10. Refund Policy

Except where required by law, subscription fees are non-refundable.

No refunds will be issued for:

• Algorithms

• Trademarks

is the exclusive property of LoadProfits and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reverse engineer, distribute, reproduce, modify, or create derivative works without prior written permission.

12. Acceptable Use

You agree not to:

• Attempt to hack or disrupt the Platform.
• Circumvent security features.
• Copy or scrape our data.
• Reverse engineer our software.
• Resell or sublicense the Platform.
• Use automated bots without authorization.
• Upload malicious code.

AI-assisted features (such as Import Load Offer) are subject to reasonable usage limits (currently 30 requests per hour per account) to prevent abuse and ensure fair access for all users.

Violation of this section may result in immediate account termination.

13. Account Suspension

We reserve the right to suspend or permanently terminate any account that:

• Violates these Terms;
• Uses the Platform fraudulently;
• Attempts unauthorized access;
• Engages in abusive behavior.

14. Third-Party Services

LoadProfits relies on third-party providers, including mapping, routing, payment processing, hosting, and analytics services.

We are not responsible for the availability, accuracy, or performance of those services.

15. Privacy

Your use of the Platform is also governed by our Privacy Policy.

By using LoadProfits, you consent to our collection and processing of information as described therein.

16. Changes to the Terms

We may modify these Terms at any time.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Nevada, United States, without regard to conflict of law principles.

18. Dispute Resolution

Before initiating legal action, both parties agree to make a good-faith effort to resolve any dispute informally.

If a dispute cannot be resolved, it shall be subject to the exclusive jurisdiction of the state or federal courts located in Clark County, Nevada, unless otherwise required by law.

19. Indemnification

You agree to indemnify, defend, and hold harmless LoadProfits, its owners, employees, affiliates, licensors, and contractors from any claims, damages, liabilities, costs, or legal expenses arising from:

• Your use of the Platform;
• Your business operations;
• Your violation of these Terms;
• Any freight-related decision you make.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LoadProfits regarding your use of the Platform, and supersede any prior agreements, understandings, or representations, whether written or oral.

22. No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of LoadProfits.

23. Force Majeure

LoadProfits shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, or failures of third-party providers.

24. Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. LoadProfits may assign these Terms, in whole or in part, at any time without notice, including in connection with a merger, acquisition, or sale of assets.
